General Terms and Conditions

For deliveries, services, training, room rental, digital offerings and ASEING products of A. Seitz Ingenieur GmbH – for business customers only.

Terms in detail

1Scope and contractual basis

1.1 Scope

These General Terms and Conditions (GTC) apply to all deliveries, services, training courses, rentals, digital offerings and other legal transactions of A. Seitz Ingenieur GmbH (hereinafter "we" or "A. Seitz Ingenieur") in Germany and abroad. The customer within the meaning of these GTC is whoever concludes a contract with us; for training courses, also the registered person (participant).

1.2 Businesses only

Our offers are directed exclusively at entrepreneurs within the meaning of Section 14 BGB – that is, companies, tradespeople, freelancers and public-sector clients acting in the exercise of their commercial or independent professional activity. By booking or ordering, the customer confirms that it is acting as an entrepreneur. We may request proof of this, e.g. a business registration, commercial register extract or VAT identification number, and reject bookings without proof. Private individuals can request an individual quote from us; the conditions stated in the quote then apply.

1.3 Precedence of these GTC

These GTC apply exclusively, including to all future business relationships, even if they are not expressly agreed again. General terms and conditions or counter-confirmations of the customer are expressly rejected; they apply only if we expressly agree to them in text form. This also applies if the offer or acceptance is made with reference to the customer's own terms.

1.4 Services

We provide services in the field of CAD and plant engineering: supply of software from other manufacturers (Section 2), support and other services (Section 3), training (Section 4), rental of the training room and workstations (Section 5), digital offerings such as video courses and technical literature (Section 6), our own ASEING products (Section 7) and free online tools (Section 8). The scope and type of service are set out in the quote, the booking or order confirmation and the respective service description on our website. Service descriptions within the meaning of these GTC are only documents explicitly designated as such. Unless explicitly agreed, we do not provide services under a contract for work within the meaning of Sections 631 et seq. BGB – not even if individual services are confirmed by countersigning service records, timesheets or other service confirmations.

1.5 Conclusion of contract

The presentation of our services on the website does not constitute a binding offer. By submitting a booking request, order or enquiry (e.g. via the booking form in the training calendar, by email or telephone), the customer makes an offer. The contract is concluded when we confirm the booking or order in text form (e.g. by email), at the latest when the service begins or access is activated. The automatic acknowledgment of receipt of an enquiry does not yet constitute acceptance. The contract language is German. We do not store the contract text in a publicly accessible form; the customer receives the contract data and these GTC with the confirmation in text form.

1.6 Prices

The prices at the time of booking or order apply. All prices are net prices plus statutory VAT. Discounts (e.g. volume discount for several participants, promotional discounts) apply only as stated in the quote and cannot be combined unless otherwise stated.

2Delivery of third-party software

2.1 Scope of services

Where provided for in the quote, we supply software from other manufacturers, in particular Autodesk. We neither program this software ourselves nor customize it to customer needs, unless this is explicitly part of the quote. There is no entitlement to the release of the source code. Installation is owed only if it is explicitly part of the quote. We do not create our own documentation for the supplied software unless explicitly agreed; we pass on the manufacturer's documentation. Section 7 applies to our own products.

2.2 Rights of use

The rights of use and exploitation lie with the respective manufacturer and are governed exclusively by its license terms (for Autodesk products, in particular the Autodesk Terms of Use). Claims relating to these rights must be addressed to the manufacturer.

3Support and other services

3.1 General

We provide support and other services, for example for the installation, configuration and implementation of software, project support, spec creation and 3D laser scanning. These services are provided as a service contract within the meaning of Sections 611 et seq. BGB, unless explicitly agreed otherwise. The type and scope are set out in the quote and the service description. We may provide the services through our own employees or through third parties. If the customer itself concludes a contract with a third-party service provider, its claims are governed exclusively by that contract.

3.2 Pricing

Prices may be agreed as a binding fixed price, as an estimated price or on a time-and-effort basis. Overtime: for the first two daily overtime hours Monday to Friday, the hourly rate remains unchanged; for each further overtime hour a surcharge of 25% is charged, for Saturday hours 50% and for Sunday and public holiday hours 70%. Normal hours are the hours within the customer's established working hours, provided they are within the limits set by collective agreements. Travel time on business trips is charged as normal working time.

3.3 Obligations to cooperate

The customer creates, without special remuneration, all technical prerequisites for proper performance of the services. It provides the necessary information about its IT infrastructure in good time, grants access to servers and the system environment as required (for remote maintenance via a tool approved by the customer) and ensures that any necessary consents of third parties, in particular external providers, are in place. It indemnifies us against third-party claims arising from such access initiated by the customer, insofar as we are not responsible for them. A competent contact person is available while the services are being performed. The customer checks submitted drafts for compatibility with its systems. The customer performs regular data backups and backs up system-relevant data before we begin our work.

3.4 Availability

During support and other services, substantial parts of the system environment (software, hardware, networks) may be temporarily unavailable.

3.5 Change of installation location

The customer must notify changes to the installation location of supplied software two weeks in advance in text form. A relocation – in particular abroad – may mean that some or all support services can no longer be provided.

4Training

4.1 Offering

We offer public training courses in person (e.g. in Frankfurt am Main) and as live online training, as well as company training (at our premises, at the customer's site or online). Content, duration, location, date and price are set out in the course description and the booking confirmation. Training courses held by our partner Contelos-Seitz Consulting GmbH (e.g. in Gehrden) are marked accordingly in the booking confirmation; the contracting party is the company named there. We may replace trainers for good cause and adjust the schedule, as long as the purpose of the training is maintained.

4.2 Registration

Registration is via the booking form on our website, by email or in writing. The registration deadline is usually eight days before the start. Places are allocated in the order in which registrations are received; if a training course is fully booked, we will inform you immediately and offer an alternative date.

4.3 Services and prices

The training fee applies per participant and includes conducting the training, for classroom training a set-up training computer with training license, and the course materials. A course manual is included if available for the course. Catering, travel and accommodation are only included if expressly stated in the course description. For several participants of one customer on the same date, the volume discount shown in the quote applies.

4.4 Minimum number of participants and cancellation by us

Public training courses take place with a minimum of three participants. If the minimum number of participants is not reached, we may cancel the training up to seven days before it starts. We may also cancel if the training cannot take place for reasons beyond our control (e.g. sudden illness of the trainer, force majeure, official orders). In these cases, we offer an alternative date or participation in a live online training; if the customer wishes, we refund fees already paid in full. Further claims, such as reimbursement of travel or accommodation costs, exist only under Section 10 (Liability). We recommend booking travel and accommodation only after we have confirmed that the training will take place.

4.5 Cancellation by the customer

The customer can cancel a booked training course at any time; cancellation must be in text form (e.g. email to vertrieb@seitz-ingenieure.de). The date of receipt by us is decisive. The following will be charged:

  • up to 14 days before the start of training: free of charge
  • 13 to 8 days before the start of training: 50% of the training fee
  • from 7 days before the start of training and in case of no-show: 100% of the training fee

Instead of canceling, the customer may at any time name a substitute participant at no additional cost or – subject to availability – rebook once free of charge to another date of the same training, provided the rebooking is received at least 8 days before the start. The customer retains the right to prove that we have incurred no damage or substantially less damage. In the case of only partial attendance, there is no entitlement to a pro-rata refund.

4.6 Live online training

The participant is responsible for the technical prerequisites: a suitable computer, a stable internet connection, a headset or speakers and microphone and – where stated in the course description – a working installation of the training software with a valid license or trial version. Access data are personal and must not be passed on. Participants may not make video or audio recordings of the training. Technical problems on the participant's side do not entitle them to a price reduction.

4.7 Certificate of attendance

After full attendance, each participant receives a certificate of attendance as a PDF – directly after a short, voluntary evaluation of the training, and no later than 14 days after the end of the course; for Autodesk-authorized courses, an Autodesk certificate is also available on request. Certification exams are included only if explicitly stated.

4.8 Company training

For company training, the content, dates and prices agreed in the individual quote apply. Unless agreed otherwise there, the cancellation rule in Section 4.5 applies accordingly to the agreed total fee; travel costs and expenses for training at the customer's site are charged separately. If the customer provides rooms, computers and licenses, the customer is responsible for their proper functioning.

4.9 Course materials

Training materials, exercise data and course manuals are protected by copyright. They may be used only for the participant's personal professional development and may not be copied, distributed or made publicly available without our consent. Exercise files on training computers are deleted at the end of the training.

5Rental of training room and workstations

5.1 Subject matter

On our premises in Frankfurt am Main we rent out (a) the training room – either with up to eight set-up CAD computers (six with two monitors), a presenter's station and a large screen, or with tables and chairs only for up to ten people – and (b) workstations in the Project Hub (day pass, 10-day card, flex desk, fixed desk, CAD fixed desk) as well as additional services such as a business address, telephone service and office service. Scope, rental period and price are set out in the booking confirmation or the contract. This is a provision for use, not the rental of residential or commercial premises as a whole.

5.2 Booking, term and termination

The training room is booked for at least half a day (up to 4 hours). Day desk and 10-day pass apply to individual days; the 10-day pass is valid for twelve months from purchase. Flex desk and add-on services can be terminated with one month's notice to the end of the month; the fix desk has a minimum term of three months and can then be terminated with one month's notice to the end of the month. The trial day is free of charge and without obligation.

5.3 Cancellation of the training room

Cancellation of a room booking must be in text form. It is free of charge up to 14 days before the date of use; from 13 to 8 days before, we charge 50%, and from 7 days before, 100% of the rental price. Services already rendered (e.g. software setup as agreed) are charged in any case. The customer reserves the right to prove that a lesser damage has been incurred.

5.4 Use and obligations

The customer uses rooms, furniture and equipment with care and only for the agreed purpose and observes the house rules. Software may only be installed on our computers after prior agreement. The customer is responsible for the use of software; Autodesk licenses are used via the customer's own accounts or provided by us under a separate agreement. Subletting or making the premises available to third parties is not permitted without our consent. The customer must compensate for damage culpably caused by the customer, its participants or guests.

5.5 Data and items brought in

Data on the training drive and training computers are deleted after use ends; the customer is responsible for backing them up. We are liable for items brought in by the customer only in accordance with clause 10.

6Digital offerings, renewal and allowances

6.1 Service and access

We provide video courses, technical literature (PDF), training materials and other downloads after conclusion of the contract and – where agreed – receipt of payment via a personal customer account on our website. Unless otherwise stated, access is valid for twelve months from activation. Updated versions are also available within this period. After expiry, access can be renewed under Section 6.5; the customer may continue to use downloaded PDF files within the scope of Section 6.2.

6.2 Right of use

The customer receives a simple, non-transferable right to use the content for the in-house training of the respective activated person – online content (videos, online materials) for the duration of access, and PDF files and scripts downloaded during the term also thereafter without time limit. A customer account may be used by only one person; access data must be kept secret. Multi-user or company access is agreed separately. In particular, it is not permitted to download or record videos, to pass on, reproduce, publish or make the content available to third parties, or to use it in your own training courses.

6.3 Availability

We strive for continuous availability. Brief interruptions are possible, in particular due to maintenance, security updates or disruptions beyond our control. We may update or rearrange content or replace it with equivalent content, provided the agreed content is essentially preserved.

6.4 Misuse

If there is reasonable suspicion that access data or content have been passed on, we may temporarily block access. In the event of proven misuse, we may terminate the contract for good cause; in that case there is no entitlement to a refund. Further claims remain reserved.

6.5 Renewal and allowances

Access and download entitlements – including for ASEING products under Section 7 – do not renew automatically. We send an email reminder before expiry. A twelve-month renewal costs a share of the then-current list price, depending on how frequently the content changes: software, technical books and book bundles 25%, piping catalogs 15%, online access (video courses, training materials) 40%. If renewed on time, the new term follows on from the previous expiry date. Anyone rejoining after expiry pays 50% of the then-current list price. Without renewal, access expires; the customer may continue to use everything downloaded during the term indefinitely. Videos cannot be downloaded and are no longer available afterwards. Quotas (support hours, Catalog Checker packages) are valid for twelve months from activation. If the customer orders a new quota at list price by the expiry date, we carry over unused hours or catalog credits to the new quota; the date the order is received is decisive, and activation follows receipt of payment. Otherwise, they expire on the expiry date. We send email reminders 60, 30 and 7 days before expiry.

6.6 Online tools

We provide calculators and checking tools on our website (in particular the piping spec, support span and other calculators, the Catalog Checker with Catalog Builder, the Connection Assistant) to customers with a customer account – free of charge or, where stated, based on a booked package. Tools in the Plant Engineering Infobase can be used without signing in. Programs, calculation methods, data sets (including material, dimension, catalog and check rule data) and the design of the tools are protected by copyright or as a database (Sections 69a et seq., 87a et seq. UrhG); all rights remain with us. The customer may use the tools for its own design tasks and use the results (e.g. spec sheets, reports, Excel files, catalogs within the scope of Section 7.2) in its own projects and pass them on to clients and project partners. Not permitted are copying, modifying or recreating the tools or their data sets, decompiling and other reverse engineering beyond the extent mandatorily permitted by law (Section 69e UrhG), automated retrieval (e.g. by scripts, crawlers or interfaces), and offering the tools or their results as a service or product of one's own to third parties. The results are guideline values for preliminary planning and do not replace formal verification; Section 7.4 applies accordingly. In the event of violations, Section 6.4 applies.

6.7 Data basis, standards and own values

Dimensions, material properties, ratings and comparable table values in the online tools and ASEING products are generalized estimates derived from publicly available manufacturer data. Standards cited serve as a reference for calculation methods and classifications; standard texts and standard tables are not part of our service. The values may deviate in individual points from standards and manufacturer data. The applicable current standard and the manufacturer's data are binding; obtaining and cross-checking them is the customer's responsibility. If the customer loads its own tables (e.g. from a standard it has purchased or from a manufacturer catalog), these are processed exclusively in its browser and are not transmitted to us – Section 6.8 applies to the Catalog Builder; the customer ensures that it is entitled to this use. If the customer reports a deviation using the "Deviates" function, only the location (tool, component, nominal size, dimension) is transmitted, not any values from standards. Section 7.4 applies accordingly.

6.8 Catalog Builder (ASEING) and ASEING manufacturer database

With the Catalog Builder in the Catalog Checker, the customer creates catalogs for AutoCAD Plant 3D from manufacturer catalogs and data sheets. The files are read in the customer's browser and are not transmitted to us. As long as the "Contribute manufacturer data" checkbox is ticked (default setting), the tool transmits the manufacturer data extracted from them to us when the Excel file is created or data is added to the company database: manufacturer, series or catalog heading, design type, connection type, material, standards cited, dimensions, weights, pressure and temperature data, the media named by the manufacturer, the "stock program" indication and the page number, as well as the industry selected by the customer (e.g. "Chemicals"). Not transmitted are the file itself, its file name, information about the customer or user, project data, the customer's own information and know-how (in particular its own item codes, own columns and properties, order and assignment texts, company standards) and the customer's chosen compilation of its piping specs. We remove references to company standards before storing. We store the data in the ASEING manufacturer database without any link to the customer; it is therefore not possible to later attribute individual contributions to a customer. The customer can opt out of the transmission at any time; the setting applies to its customer account, and use of the Catalog Builder is not affected.

  • To the extent the customer holds rights in the transmitted data, it grants us a simple, free, perpetual and worldwide right to store, check, generalize and use them in our online tools and ASEING products. The rights to the manufacturer database as a whole remain with us (Sections 87a et seq. UrhG).
  • Company database: If the customer explicitly adds a catalog to its company database, we store the component families generated from it (not the source files) assigned to its account and retrievable by that customer. The customer can delete them at any time; they are deleted together with the account unless, at the company's request, we first transfer them to another customer account of the same company. Shared company database: On request, we activate the company database for all approved customer accounts of the same company (same company e-mail domain, not for general e-mail services). Catalogs that their creator makes visible to the company can be seen by these colleagues together with the creator's name and used to compile piping specs; only the creator can change or delete them. The customer can end shared use for individual catalogs or for its customer account at any time. The ordering party is responsible for ensuring that only authorized employees use its company's customer accounts. Beyond the learning function described above, we do not analyze this data and do not share it – except within an activated shared company database. Storing and compiling are free of charge; charges apply on download (0.1 catalog credit per family, each family charged once per catalog; actuators are part of the valve). We do not store compilations of piping specs.
  • In the Catalog Builder, the customer uses only documents that are publicly accessible or that it is entitled to use in this form – in particular no confidential documents, no standards texts or standards tables, and no specifications of its clients. If we become aware that information from such documents has been transmitted, we will delete it; please send notices to vertrieb@seitz-ingenieure.de.
  • We use contributions from customers for other users only after our own review. There is no entitlement to inclusion, attribution or remuneration.
  • If the customer selects "Manufacturer approval" as the calculation basis, the tool and the spec sheet adopt the pressure and temperature limits from the manufacturer's data; no separate strength calculation takes place in that case. The manufacturer's current documents and approvals are authoritative; obtaining and cross-checking them is the customer's responsibility. Sections 6.7 and 7.4 apply accordingly.
  • Billing is based on catalog credits in accordance with the service description (0.1 catalog credit per family in the Excel file created).

6.9 Company package, standards status notification, scope of checks and technical decisions

A Catalog Checker package applies to the ordering company: activated customer accounts with the same company email domain (not for general email services) can use catalog credits from the package and see the package balance, the name of the person who ordered it and the names of the catalogs checked within the package. At the request of the person who ordered it, we restrict the package to their customer account (notification to vertrieb@seitz-ingenieure.de). If the customer switches on the standards status notification in the Catalog Checker, we store the standard numbers (e.g. "DIN EN 1092-1") and the file names of the checked catalogs in their customer account in order to notify them in the tool of later changes to our standards table; dimensions, materials and the composition of their piping specs are not stored. Switching it off deletes this information. The notifications are an aid with no claim to completeness; the respective standards body is authoritative. The Catalog Checker checks the internal consistency of the catalog data (e.g. dimension series, decimal places, weights recalculated from geometry and material) and, only at the customer's choice, the comparison with a reference standard; the technical review and approval of the catalogs is the customer's responsibility. If the customer leaves a finding as "Intentionally so" and consents to its transmission, we receive the decision without catalog and company names (privacy policy, Section X.5) and may use it to improve our check rules; it is weighted according to the confirmed professional background of the account.

7ASEING products

7.1 Subject matter

ASEING products are content and tools we have created for AutoCAD Plant 3D and AutoCAD P&ID, in particular ASEING PlantConfig Pro (project templates and configuration), ASEING Piping Catalogs (catalogs, bundles with technical book and scripts) and ASEING PlantPlus (command extension for AutoCAD Plant 3D). Scope, supported software versions and services (e.g. installation assistance, introduction, layout customization) are set out in the product description and the quote. Delivery is by download or data carrier.

7.2 Rights of use

Upon full payment, the customer receives a simple, perpetual, non-transferable right to use the product in its own business operations to the agreed extent – for ASEING PlantPlus as a company license for the agreed number of Plant 3D users. The customer may adapt and extend the products for its own projects. It may hand over projects, drawings, bills of materials and catalog data created with the products to its clients and project partners as part of a project. Not permitted are resale, rental or the separate transfer of the products or substantial parts thereof (e.g. as its own template or its own catalog), and use by affiliated companies without a separate agreement.

7.3 Updates

Where stated, the customer can download new versions of the purchased product for twelve months from purchase; thereafter through renewal under Section 6.5. Beyond this, adaptation to future versions of the Autodesk software is not owed.

7.4 Prerequisites and technical responsibility

Use requires a valid license for the respective Autodesk software in a supported version. Catalogs, templates and tools are work aids: checking dimensions, materials, pressure ratings and compliance with standards for the specific project, as well as approving the design results, is the customer's responsibility. The customer backs up its project data before installation.

8Free online tools and Infobase

We provide the Piping Spec Calculator, the Support Span Calculator and the Plant Engineering Infobase free of charge. The results are intended for preliminary sizing and orientation. They do not replace design, strength calculation or verification according to the codes applicable to the project (e.g. Pressure Equipment Directive, DIN EN 13480, AD 2000) by a qualified person. We accept no warranty for correctness, completeness or currency; in this respect, we are liable only for intent and gross negligence and under Section 10.2. We provide outputs such as the spec sheet (PDF) in exchange for contact details or after signing in. Automated mass queries and incorporating the tools or data sets into one's own offerings are not permitted. We may change the scope or discontinue the offering at any time.

9Warranty rights

9.1 Deliveries and products

We warrant that supplied software and ASEING products are, at the time of handover, free of defects that eliminate or more than insignificantly reduce their value or fitness for ordinary use or for the use assumed under the contract. According to the state of the art, it is not possible to create software that is completely free of errors. There is no warranty for defects caused by improper use, failure to observe manufacturer, installation or operating instructions, or interventions by the customer or third parties commissioned by it. We do not owe compatibility with the customer's programs or customizations, unless explicitly agreed. Defects must be reported without delay in text form and as precisely as possible. At our option, we provide subsequent performance by repair or replacement and bear the costs required for this. If subsequent performance fails, the customer may reduce the fee or withdraw from the contract. Damages for defects are governed by Section 10. Claims for defects become time-barred one year after delivery; this does not apply in the cases of Section 10.1.

9.2 Services, training and rental

Support and other services as well as training are governed by the statutory provisions on service contracts (Sections 611 et seq. BGB), and rentals by the statutory provisions of tenancy law, in each case in conjunction with Section 10.

10Liability

10.1 Unlimited liability

We are liable without limitation for intent and gross negligence, for damages resulting from injury to life, body or health, under the Product Liability Act and to the extent of any guarantee assumed.

10.2 Slight negligence

In the event of a slightly negligent breach of a material contractual obligation – an obligation whose fulfillment is essential for the proper performance of the contract and on whose compliance the customer may regularly rely – our liability is limited to the damage typical for the contract and foreseeable at the time the contract was concluded. Otherwise, liability for slight negligence is excluded.

10.3 Data loss and employees

For loss of data, we are liable only up to the effort that would have been required for recovery had the customer performed proper, regular data backups. The above limitations also apply in favor of our legal representatives, employees and vicarious agents.

11Payment, retention of title

11.1 Payment

Unless otherwise agreed, invoices are due within 7 days of receipt without deduction; training fees must be paid no later than the start of the training. We activate digital offerings after receipt of payment, unless purchase on account has been agreed. At our discretion, we may provide services only against prepayment. Set-off is permitted only with undisputed or legally established claims. A right of retention exists only under the same contractual relationship and, in the case of defects, only in reasonable proportion to the cost of remedying the defects. In the event of payment default, the statutory provisions apply; we reserve the right to claim further damages for default.

11.2 Retention of title

Delivered software, data media and ASEING products remain our property until paid in full, or the rights of use pass only upon full payment. The customer may use goods subject to retention of title only in the ordinary course of business; the customer hereby assigns to us in full any claims arising from a resale. In the event of payment default, suspension of payments or the opening of insolvency proceedings, we may revoke the authorization to resell and process, demand return and notify third-party debtors of the assignment.

12Non-solicitation

The customer undertakes, during the cooperation and for twelve months thereafter, not to actively solicit or attempt to solicit employees of A. Seitz Ingenieur deployed at the customer for permanent or freelance work. A contractual penalty of €10,000.00 is payable for each culpable breach. The customer reserves the right to prove that a lesser damage has been incurred.

13Data protection

We process personal data in accordance with the applicable data protection regulations; details can be found in our privacy policy. If the customer transmits personal data of third parties to us (e.g. participant data of its employees), it warrants that it is entitled to do so and indemnifies us against claims arising from a violation of data protection regulations for which it is responsible. To the extent we process personal data on behalf of the customer, the parties conclude a data processing agreement.

14Confidentiality

The contracting parties keep confidential from third parties any trade and business secrets they learn about each other during the cooperation – in particular information about business partners, customers, projects, internal company matters, technologies and processes – and oblige their employees accordingly.

15Changes to these GTC

Existing contracts are governed by the version agreed at the time the contract was concluded. For continuing obligations (e.g. workstation rental, additional services), we notify changes in text form at least six weeks before they take effect. If the customer does not object before they take effect, the changes are deemed accepted; we point out this consequence separately in the notification. In the event of an objection, either party may terminate the contract as of the date the changes take effect. Changes to the main performance obligations and to prices require an explicit agreement.

16Applicable law, place of jurisdiction, final provisions

The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods. The place of performance for deliveries and other services is the registered office of A. Seitz Ingenieur GmbH, Frankfurt am Main, unless otherwise agreed. The exclusive place of jurisdiction is Frankfurt am Main if the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany.

The parties will endeavor to resolve problems in the performance of a contract amicably in the first instance. Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions remains unaffected. The parties undertake to replace the invalid provision with a valid one that comes closest to its meaning and purpose.
